Introductory 30-Day Facebook Lead Generation Agreement

This Introductory 30-Day Facebook Ad Lead Generation Agreement (the "Agreement") is entered into on the date of the accompanying order form, by and between the Client (purchaser, named on the accompanying order form) and the Ads Manager (ECC Digital Marketing, LLC).

Together, the Client and the Ads Manager are referred to as the "Parties."

1. Description of Services

The Ads Manager agrees to provide the following services (the "Services") for a 30-day period:

  • Initial Setup and Strategy Development:

    • Conduct a discovery session with the Client to understand business goals, target audience, and lead generation objectives.

    • Develop a customized lead generation strategy, including targeting, creatives, copy, and lead magnets (e.g., landing pages, forms).

    • Set up Facebook Ads Manager account (if not already set up) and create necessary ad campaigns for lead generation.

  • Ad Creation and Campaign Management:

    • Create and launch Facebook Ads campaigns designed to generate leads, including writing ad copy, designing creatives, and setting up tracking pixels.

    • Monitor and optimize campaigns for performance, including adjusting budgets, targeting, and creatives to improve results.

    • Implement Facebook’s best practices for lead generation to maximize conversion rates.

  • Campaign Management and Reporting:

    • Regular performance tracking and reporting, including key metrics such as Cost Per Lead (CPL), lead volume, click-through rates (CTR), and conversion rates.

    • Weekly performance reports delivered to the Client, along with optimization suggestions.

    • Ad spend management, including monitoring ad budgets and providing recommendations for scaling successful campaigns.

2. Term of Agreement

This Agreement will be valid for a period of 30 days starting from the date the campaigns are launched. After the 30-day period, the Agreement will automatically terminate unless a new contract or extension is agreed upon by both Parties.

3. Fees and Payment Terms

  • Setup and Management Fee: The Client agrees to pay the Ads Manager a total fee of $359 USD for the 30-day setup and management of the lead generation campaigns.

  • Ad Spend: The Client is responsible for all Facebook ad spend (budget for the ads) for the duration of the campaign. The Client agrees to allocate a minimum ad spend of $10 USD per day/week for the duration of the campaign.

    • The total amount of ad spend is estimated at $300 for the 30-day period, but the actual ad spend will depend on the Client's desired reach and budget.

  • Payment Schedule: The full amount of $359 USD is due upon signing this Agreement.

4. Client Responsibilities

The Client agrees to:

  • Provide all necessary assets for the campaign, including branding materials (e.g., logo, images, videos) and any other content required for the ads.

  • Provide timely access to Facebook Ads Manager, Business Manager, and any other necessary platforms to run the campaigns.

  • Communicate promptly with the Ads Manager regarding feedback, approvals, and any questions.

  • Ensure that all content and ad creatives comply with Facebook’s Advertising Policies and applicable laws.

5. Campaign Deliverables

  • Setup and Launch: After receiving the necessary materials, the Ads Manager will complete the setup of the ad campaigns and launch them.

  • Reporting: The Ads Manager will provide weekly performance reports during the campaign period, detailing key performance metrics, lead generation effectiveness, and campaign adjustments made.

  • Optimization: Throughout the 30-day period, the Ads Manager will make necessary adjustments to optimize ad performance based on campaign data, ensuring the best possible results.

6. Confidentiality

Both Parties agree to keep all proprietary information, including marketing strategies, lead data, and financial information, confidential and not share with third parties without prior written consent. This confidentiality obligation will survive the termination of this Agreement.

7. Limitations of Liability

  • The Ads Manager will make every reasonable effort to generate leads and optimize campaign performance. However, the Ads Manager does not guarantee a specific number of leads, cost per lead (CPL), or return on investment (ROI).

  • The Ads Manager is not responsible for any financial loss or other damages resulting from the Client’s use or reliance on the leads generated or the performance of the Facebook Ads campaign.

8. Indemnification

The Client agrees to indemnify and hold harmless the Ads Manager from any and all claims, damages, losses, or expenses arising from:

  • The Client’s use of the leads generated during the campaign.

  • Any third-party claims related to the Client’s business, content, or intellectual property used in the campaign.

9. Termination

This Agreement will automatically terminate at the end of the 30-day period unless both Parties agree to extend it. Either Party may terminate the Agreement earlier by providing written notice, subject to the following conditions:

  • Termination by the Client: If the Client terminates the Agreement before the end of the 30-day period, the Client is still responsible for the full payment of the agreed-upon fees, including any outstanding ad spend incurred up to the point of termination.

  • Termination by Ads Manager: If the Ads Manager terminates the Agreement for any reason, the Client will be refunded any unused portion of the management fee on a pro-rated basis.

10. Force Majeure

Neither Party shall be held responsible for any delay or failure to perform obligations under this Agreement if such delay or failure is caused by factors beyond their reasonable control, including but not limited to natural disasters, power failures, changes in Facebook’s advertising policies, or government restrictions.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Arkansas, USA. Any dispute arising from or related to this Agreement shall be resolved through informal negotiations. If a dispute cannot be resolved through negotiation, the Parties agree to seek resolution through mediation before pursuing litigation.

12. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all previous agreements or understandings, written or oral, related to the subject matter hereof.

  • Amendments: Any amendments to this Agreement must be in writing and signed by both Parties.

  • Assignment: The Client may not assign or transfer its rights or obligations under this Agreement without the prior written consent of the Ads Manager.
