Introductory Facebook Ad Audit Service Agreement

This Introductory Facebook Ads Audit Agreement (the "Agreement") is entered into on the date of the accompanying order form, by and between the Client (purchaser, named on the accompanying order form) and the Facebook Ads Manager (ECC Digital Marketing, LLC).

Together, the Client and the Ads Manager are referred to as the "Parties."

1. Description of Services

The Facebook Ads Manager agrees to provide the following services:

  • A comprehensive review and analysis of the Client's current Facebook Ads campaigns, including but not limited to:

    • Campaign structure and setup.

    • Audience targeting and segmentation.

    • Ad creatives and copy.

    • Budget and bidding strategies.

    • Performance metrics and key performance indicators (KPIs).

  • A report detailing the findings, including:

    • Strengths and weaknesses of the current Facebook Ads campaigns.

    • Recommendations for optimization, including targeting, ad creative, bidding, and campaign setup.

    • Suggested strategies for future campaigns to improve performance and ROI.

Note: The audit will focus exclusively on the Facebook Ads account and the campaigns that the Client currently has running at the time of the audit.

2. Scope of the Engagement

The services provided under this Agreement will be a one-time audit only. No ongoing management or optimization of campaigns is included in this Agreement unless a separate agreement is entered into for such services.

  • The Audit will be completed within [X] business days of receiving all necessary account access and relevant information from the Client.

  • The Client will provide the Facebook Ads Manager with access to the Facebook Ads Manager account, relevant campaign data, and any other necessary materials to perform the audit.

3. Fees and Payment Terms

  • Audit Fee: The Client agrees to pay the Facebook Ads Manager a one-time fee of $59 USD for the Facebook Ads Audit Services.

  • Payment Schedule: The total fee for the audit is due upfront before the commencement of the audit services.

4. Client Responsibilities

The Client agrees to:

  • Provide the Facebook Ads Manager with the necessary access to the Facebook Ads Manager account and any relevant data required to perform the audit.

  • Ensure that all account information is accurate and up-to-date prior to the start of the audit.

  • Cooperate with the Facebook Ads Manager by answering any follow-up questions or providing additional information as needed for a thorough review.

5. Audit Report Deliverables

Upon completion of the audit, the Facebook Ads Manager will provide the Client with a written report, which will include:

  • An analysis of the current Facebook Ads campaigns.

  • Specific recommendations for improvements, optimizations, and strategies.

  • A follow-up meeting (optional, unless otherwise agreed upon) to discuss the findings and recommendations.

The report will be delivered within [X] business days after the completion of the audit.

6. Confidentiality

Both Parties agree to maintain confidentiality regarding all proprietary information shared during the course of this engagement, including business data, campaign strategies, performance metrics, and intellectual property.

This confidentiality obligation will survive the termination of this Agreement.

7. Limitations of Liability

The Facebook Ads Managermakes no guarantees regarding the outcomes of any recommendations provided in the audit report. The Facebook Ads Manageris not responsible for any actions the Client takes based on the audit findings, nor is the Facebook Ads Managerliable for any financial loss or damage resulting from the audit or the implementation of the suggested recommendations.

The Client understands that the Facebook Ads Manager’s role is limited to providing an objective review and recommendations, and the Client remains solely responsible for the final decisions regarding the management and implementation of any changes to their Facebook Ads campaigns.

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Facebook Ads Manager from and against any and all claims, losses, liabilities, damages, and expenses arising from the Client’s use of the audit report and recommendations, including any actions taken or decisions made based on the audit findings.

9. Termination

This Agreement is for a one-time engagement. Either Party may terminate this Agreement at any time prior to the start of the audit by providing written notice. Upon termination, the Client will be entitled to a refund if no work has been performed; however, if the audit process has already begun, no refunds will be issued.

10. Force Majeure

Neither Party shall be liable for failure to perform any obligation under this Agreement if such failure is caused by an event beyond their reasonable control, including but not limited to natural disasters, technical failures, or government actions.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Arkansas, USA. In the event of a dispute, the Parties agree to first attempt to resolve the dispute through informal negotiation. If the dispute cannot be resolved through negotiation, the Parties agree to attempt mediation before resorting to litigation.

12. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, written or oral, concerning the subject matter hereof.

  • Amendments: Any amendments to this Agreement must be made in writing and signed by both Parties.

  • Assignment: The Client may not assign or transfer their rights or obligations under this Agreement without the prior written consent of the Facebook Ads Manager.
